Valuing a company that is to be acquired can be tricky because the premium rises during a strong economy and can lead the buyer to pay too much. Tips to keep valuation realistic during due diligence include not getting overly excited about the deal, not paying for synergy, digging deep into financial models and assigning a realistic value to a seller's future performance.
