SEC considers disclosure of options awards during merger talks

The Securities and Exchange Commission is considering a proposal that would require firms to disclose stock options awarded during merger talks. "Depending on all of the circumstances, we would have concerns if a company made option grants in a manner that was materially inconsistent with its most recent disclosure about its option timing practices," said Meredith Cross, director of the SEC's Division of Corporation Finance.
